Welcome to The Prompt Den (the “Service”), a product of Corsac Vantage LLC (“Corsac Vantage,” “we,” “us,” or “our”), operating under The Foxhall Factor brand. By creating an account, accessing, or using the Service, you (“you,” “your,” or “User”) agree to these Terms of Service (these “Terms”). If you do not agree, do not use the Service.

1. Who can use the Service

You must be at least 18 years old and able to enter into a binding contract under the laws of your jurisdiction. If you use the Service on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

2. Your account

You are responsible for the activity that happens under your account. Keep your sign-in credentials safe. Notify us promptly at info@corsacvantage.com if you suspect unauthorized use. We may suspend or terminate accounts that violate these Terms or that are inactive for an extended period.

3. Subscriptions and credits

The Service offers free and paid tiers. Paid tiers are billed in advance (monthly, annually, or as a one-time purchase, depending on the plan you select). Credits, when offered, are consumed by AI-powered features and are non-refundable once used.

  • Pricing and feature inclusions are shown on the pricing page and may change.
  • Subscriptions renew automatically until you cancel. You can cancel anytime; access continues through the end of the current billing period.
  • Founder's Lifetime purchases are one-time, non-refundable, and grant access for the lifetime of the Service.
  • Refunds, when granted, are at our sole discretion. Email info@corsacvantage.com within 7 days of a charge to request a review.

4. AI-generated output

The Service uses third-party large language models (currently Anthropic Claude and Google Gemini) to generate text outputs based on prompts, voice profiles, and inputs you provide. You should understand and accept the following:

  • AI output is not guaranteed to be accurate, complete, or fit for any purpose. It may contain factual errors, fabrications (“hallucinations”), biased language, or copyrighted material. Always review and verify before publishing or relying on it.
  • You are responsible for what you publish. If you use AI output in client work, marketing, legal, medical, financial, or any decision-making context, you assume all risk and liability for the result.
  • AI output is not legal, medical, financial, or professional advice. The Service is a writing and ideation tool, not a substitute for licensed professionals.
  • Ownership of AI output is uncertain. U.S. copyright law generally does not protect purely AI-generated work. To the extent we have any rights in output you generate using the Service, we assign them to you, subject to these Terms. You should not assume the output is fully copyrightable.
  • Similar prompts can produce similar output. Other Users may generate substantially similar content. We make no exclusivity guarantees.

5. Your content

“Your Content” means the prompts, voice samples, inputs, and other material you submit to the Service. You keep ownership of Your Content. You grant Corsac Vantage a worldwide, non-exclusive, royalty-free license to host, store, process, and use Your Content solely to operate and improve the Service for you, including transmitting it to AI model providers to generate output you request.

You agree not to submit Your Content that:

  • Infringes anyone's intellectual property, privacy, or publicity rights;
  • Is illegal, defamatory, harassing, threatening, hateful, or sexually exploitative;
  • Contains malware, exploit code, or material intended to compromise systems or accounts;
  • Contains regulated personal data (HIPAA, PCI, government IDs) we are not contractually engaged to handle;
  • Is intended to mislead, deceive, or impersonate another person or entity.

6. Acceptable use

You agree not to:

  • Reverse-engineer, scrape, or systematically extract the prompt library;
  • Resell or sublicense access to the Service without our written permission;
  • Use the Service to generate content that violates applicable law or any third-party AI provider's usage policies (including those of Anthropic and Google);
  • Use automated means to circumvent rate limits, credit usage, or tier restrictions;
  • Use the Service to develop a competing AI prompt library product (the curated prompts are our intellectual property — see Section 7).

7. Our intellectual property

The curated prompt library, the Service's design, code, brand elements (including “The Prompt Den,” “The Foxhall Factor,” “Corsac Vantage,” and associated logos), and any features you see in the Service are owned by Corsac Vantage and protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your own personal or internal business purposes during the term of your subscription. No other rights are granted by implication.

8. Third-party services

The Service relies on third-party providers including Supabase (database and authentication), Anthropic (Claude API), Google (Gemini API and Google OAuth), Stripe (payments, if enabled), and Resend (email). Your use of those features is also subject to the providers' own terms and privacy policies. We are not responsible for the acts, omissions, or outages of third-party providers.

9. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or that the Service will be uninterrupted, secure, or error-free. We do not warrant any AI output. Use of the Service is at your own risk.

10. Limitation of liability

To the maximum extent permitted by law, Corsac Vantage, its officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, or business interruption, arising out of or in connection with your use of the Service, even if advised of the possibility. Our total aggregate liability for any claim arising out of these Terms or your use of the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Corsac Vantage and its affiliates from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of (a) Your Content, (b) your use of AI output, (c) your violation of these Terms, or (d) your violation of any law or third-party right.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access for violations of these Terms, suspected fraud, or as required by law. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, governing law) will survive.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts. You waive any right to a jury trial. You agree to bring claims only in your individual capacity and not as a plaintiff or class member in any purported class or representative action.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or in-product notice before they take effect. Your continued use of the Service after changes take effect constitutes acceptance.
